Guaranty given by the the above signed to OMAHA BEEF COMPANY, INC. hereinafter called OMAHA in order to induce it to sell and/or continue to sell goods, wares & merchandise upon credit to the below (your name) hereinafter called the Guarantor, of (your business name), hereinafter called the Buyer.
The undersigned hereby jointly and severally Guaranties to OMAHA the prompt and full payment when due, of every claim which OMAHA may hereinafter have against the Buyer. This is a continuing Guaranty which shall cover all claims which OMAHA may have against the BUYER until ten (10) days after receipt by OMAHA by certified mail of notice from the undersigned of the revocation of this Guaranty but such revocation shall be effective only as to claims of OMAHA which arise out of transactions entered into after receipt of such notice.
The undersigned waives notice of this Guaranty by OMAHA and notice of presentment, demand for payment, non-payment, notice of default, protest, and disputes of any obligations of the Buyer to OMAHA.
Records of OMAHA shall be conclusive with respect to the amounts and places of delivery of any and all merchandise, and the balance due owing to OMAHA by the Buyer. In addition to the amount above mentioned, the undersigned hereby agrees to pay OMAHA all costs and expenses including reasonable attorney fees which it may incur in attempting to collect from the Buyer or in the enforcement of this Guaranty against the Guarantor.
The undersigned understands that all bills are due and owing within fourteen (14) days from the date of the invoice and are past due after thirty (30) days. All past due accounts are subject to a FINANCE CHARGE which is computed by a PERIODIC RATE OF 1-1/2% per month on unpaid balance which is ANNUAL PERCENTAGE RATE of 18%.
This Guaranty shall bind the undersigned, their heirs, legal representatives and assigns. If this Guaranty is revoked by one or more of the undersigned, said revocations shall not release the remaining Guarantors from the then existing or future obligations hereunder. The obligations of the undersigned shall not be affected by an extension if time for payment or any surrender or release by OMAHA of any security held by it for any claim hereby Guaranteed.
The undersigned warrants that the information contained in the credit application hereto and made a part hereof, is complete and accurate. This Guaranty shall for all purposes be deemed to be made in and shall be governed by the laws of the State of Connecticut.
